The articles are public, they are registered and they bind everyone. The shareholder agreement is private and covers what the articles cannot say, or should not say.
Yes, by resolution of the general meeting with the majority the law requires, in a notarial deed registered at the Commercial Registry.
As a general rule, one year from when it was passed or, if it was registered, from its publication in the BORME; resolutions contrary to public policy have no time limit. For board resolutions, thirty days. It is best not to leave it to the last minute.
Not simply by virtue of the role, but yes for the damage caused by acts contrary to the law or to their duties, and in specific situations such as failing to wind the company up in time.
